We bring a good deal of experience in M&A and business financing from both buyers and sellers perspective with over 50 transactions since our founding in 1989. We have raised financing for several clients from venture capital, private investors and private equity partners and helped the clients develop their business plans and marketing strategies as part of our portfolio services. In some cases we have taken an active role in reorganizing companies and refocusing them to create more value for the owners.
We work diligently on the behalf of our clients who are interested in selling their business by advising them to maximize the valuation of the business before selling, capturing relevant IP and financial information and creating a compelling Confidential Business Review that brings forth the inherent value of the company. We then directly market to potential strategic partners or acquirers through our extensive contacts in the industries we serve. We endeavor to get multiple strategic acquirers to submit term sheets or Letters of Intent simultaneously so as to create competition in order to optimize the price and terms of any potential deal. We assist in the negotiations and management of the due diligence process during the sale and the closing of the transaction.
Our depth of experience in technology and intellectual property allows us to help our clients in capturing and exploiting all of the intellectual property in tangible asset, patents, trade secrets, trademarks and copyrights. We provide economic valuations of patents or proposed patents and other intellectual properties. In several cases we have provided an Intellectual Properties capture and management plan and trained the client’s personnel in the use of the IP plans and patent application process.
